General Terms and Conditions of Sale –

Ilan Experience SaaS Licenses

1. Purpose

These General Terms and Conditions of Sale (GTCS) govern the sale of access licenses to the Ilan Experience analytical platform, provided in SaaS mode by Datanalis. By subscribing to a license, the Client fully accepts these GTCS.

2. Description of the License

The license granted is:

  • Non-exclusive, non-transferable, and strictly personal;
  • Granted for a renewable monthly term, unless terminated by either party as outlined below;
  • Limited to access to the GEOPULSE, STOREPULSE, MEDIAPULSE, MALLPULSE analytical environments, or a combination thereof depending on the subscription chosen.

3. Usage Restrictions

The Client expressly agrees to:

  • Not share, assign, lend, or transfer access to any third party, unless expressly authorized in writing by Datanalis;
  • Not perform reverse engineering, or attempt to extract the platform’s source code, algorithms, or structure;
  • Not resell all or part of the license or the data from the platform, unless prior written consent is given;
  • Use the data only in a lawful, professional manner and in compliance with GDPR.

4. Analytical Credits

In addition to the monthly license, the Client may purchase one-time-use analytical credits. These credits extend analysis across more stores, time periods, or data granularity.

  • Credits are consumed progressively during use in the activated environments;
  • Once credits are exhausted, additional analysis stops, without affecting access to the platform during the subscribed period;
  • No refunds or transfers of unused credits are allowed, unless expressly stated otherwise.

5. Term and Termination

The license is valid for one month and automatically renews at each term. The Client may terminate the license at any time via their Shopify account, with effect at the end of the current month. Datanalis reserves the right to suspend or terminate the license in case of non-compliance with these GTCS.

6. Intellectual Property

The Ilan Experience platform, its content, methods, and analytical results are the exclusive property of Datanalis. No rights are transferred to the Client under these GTCS.

7. Data and Confidentiality

Data processing is carried out in accordance with the General Data Protection Regulation (GDPR). The Client retains ownership of imported data. Datanalis guarantees the confidentiality and security of processed information.

8. Liability

The platform is provided "as is." Datanalis shall not be held liable for decisions made by the Client based on data derived from the platform.

9. Governing Law and Jurisdiction

These GTCS are governed by English law. Jurisdiction:

  • If the Client is based in France: Paris Court;
  • If based in Belgium: Brussels Court;
  • If based in Spain: Madrid Court;
  • Otherwise, exclusive jurisdiction of the London courts.
